These Terms of Service ("Terms") govern your access to and use of the Senzii web application, dashboard, staff portal, client portal, and any related services (collectively, the "Service") provided by REPL Made LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Senzii is a workforce scheduling platform that matches staff to shifts based on skills, proximity, and availability. The Service includes an admin dashboard, a staff portal, a client portal, and optional integrations with third-party AI assistants. We may modify, suspend, or discontinue any feature of the Service at any time without notice.
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
You must be at least 18 years old to use the Service. You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations, including employment, labor, and data protection laws.

You are solely responsible for the accuracy, completeness, and legality of all data you enter into the Service, including staff names, contact information, certifications, availability, shift assignments, and client information. Senzii does not verify the accuracy of data you submit.
You are responsible for maintaining backups of your data. While we take reasonable measures to protect data integrity, we do not guarantee that your data will never be lost or corrupted. You should export and maintain independent copies of any critical scheduling data.
We employ industry-standard security measures including encryption in transit (TLS) and at rest. Our database provider holds SOC 2 Type 2, ISO 27001, and GDPR compliance certifications. However, no system is perfectly secure. You acknowledge that unauthorized access to or disclosure of your data may occur despite our efforts, and you are responsible for implementing additional security measures appropriate to your organization's needs.
After account cancellation, we retain your data for 30 days. After that period, data may be permanently deleted. We are not liable for loss of data after the retention period.
Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
The Service may integrate with third-party AI assistants (such as ChatGPT, Claude, or others), payment processors (such as Stripe), and infrastructure providers (such as Neon, Linode, and Resend). We do not control these third parties and are not responsible for their actions, including service interruptions, data breaches, pricing changes, or any other issues arising from their platforms.
When you connect a third-party AI assistant to your Senzii account, you are responsible for understanding what data that assistant can access and for complying with the third party's terms of service. We are not liable for any actions taken by or through third-party AI assistants.
The Service is priced per staff member per month, with a free trial period. Billing is handled through Stripe. If you cancel during the free trial, you will not be charged. If you cancel during a billing period, your subscription runs through the end of that period.
We may change our pricing at any time. Price changes will apply to the next billing cycle and will be communicated in advance. We are not responsible for billing errors caused by third-party payment processors.
The Service is provided on an "as available" basis. We do not guarantee uninterrupted, error-free, or secure access to the Service. The Service may be unavailable due to maintenance, upgrades, network failures, infrastructure issues, third-party outages, acts of God, or other causes beyond our control.
We are not liable for any downtime, service interruption, or inability to access the Service. We do not offer service level agreements (SLAs) at this time. We will use commercially reasonable efforts to restore service as quickly as possible after an outage.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We specifically disclaim all implied warranties, including but not limited to:
You rely on the Service entirely at your own risk. Any scheduling decisions made using the Service are your sole responsibility. You should independently verify all assignments, staff credentials, and shift details before acting on them.
To the maximum extent permitted by law, REPL Made LLC and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of the Service. This includes, but is not limited to:
Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $50 USD, whichever is greater.
The limitations and exclusions in this section apply even if we have been advised of the possibility of such damages, and regardless of the legal theory (contract, tort, negligence, or otherwise) on which a claim is based.
You agree to indemnify, defend, and hold harmless REPL Made LLC and its operators from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
The Service, including its design, features, and underlying software, is owned by REPL Made LLC and protected by intellectual property laws. You retain ownership of all data you submit to the Service. We retain a limited license to process your data solely as necessary to provide the Service to you.
You may cancel your account at any time. We may suspend or terminate your access to the Service immediately, without notice, for any reason, including violation of these Terms, non-payment, or if your use of the Service creates risk or legal exposure for us.
Upon termination, your data will be retained for 30 days and then permanently deleted, unless required by law to retain longer. We are not liable for loss of data after termination.
These Terms shall be governed by the laws of the State of Arizona, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona, for any disputes arising out of or related to these Terms or the Service.
Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us. If the dispute is not resolved within 30 days, either party may pursue legal action.
We may update these Terms at any time. We will notify active users by email of material changes. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
Senzii is a software tool provided by REPL Made LLC. We are not an employer, staffing agency, or employer of record. We do not employ, supervise, or manage any staff member scheduled through the Service. The relationship between you, your staff, and your clients is governed by your own employment agreements and applicable labor laws. We are not a party to those relationships.
